Terms of Quotation & Material Sale
Standard terms governing price quotations, institutional purchase orders, laboratory material handling, and delivery.
1. Quotations as Invitations to Deal
Catalog product listings, indicative pricing tiers, and online order staging forms on rawcarbon.store are invitations to negotiate and deal. They do not constitute binding commercial offers.
No contract, order confirmation, or delivery commitment is formed until a formal written quotation is generated by our materials desk and executed or accepted via written purchase order by the buyer.
2. Laboratory & Industrial Evaluation Use Only
All carbon nanomaterials, turbostratic powders, dispersion precursors, and protective coatings supplied by Raw Carbon are synthesized and provided strictly for laboratory research, academic study, and industrial compounding evaluation.
Materials are not synthesized or certified for human or animal consumption, pharmaceuticals, food contact, in vivo medical device implantation, or direct unformulated consumer use. The buyer assumes sole responsibility for implementing appropriate engineering controls, personal protective equipment (PPE), and ventilation in accordance with the accompanying Safety Data Sheet (SDS).
3. Specifications & Certificate of Analysis (CoA)
Numerical values published on this storefront (including defect ratio ranges of ID/IG ~ 0.12 – 0.25, carbon purity percentages, and flake dimensions) represent typical historical synthesis baselines.
Because nanomaterial synthesis yields vary across precursor batches, binding physical specifications are guaranteed solely as documented on the individualized, signed physical Certificate of Analysis (CoA) issued with delivered material.
4. Online Spectral Plots & Data
Raman spectroscopy plots, peak positions, and sample data downloads provided on rawcarbon.store/spectroscopy represent mathematically generated reference curves for education. They do not constitute an inventory guarantee of delivered physical containers.
5. Pricing, Invoicing & Payment
- Payment Rails: Orders are invoiced and payable via institutional purchase order (PO) or direct electronic funds transfer (ACH/wire) as specified on the accepted written quotation.
- Taxes & Duties: Prices exclude sales tax, import tariffs, customs brokerage, or value-added taxes (VAT), which remain the sole responsibility of the buyer.
- Colorado Retail Delivery Fee (C.R.S. § 43-4-218): In compliance with Colorado Department of Revenue regulations, all deliveries made by motor vehicle to a purchaser located within the State of Colorado containing at least one item of tangible personal property subject to state sales tax (including physical carbon pouches and returned Aegis mail-in coated items) are subject to the state-mandated nonrefundable Colorado Retail Delivery Fee of $0.31 per order.
- Title & Risk: Title and risk of loss pass to the buyer upon tender of goods to the commercial freight carrier (FOB Origin).
6. Inspection Window & Non-Returnable Sealed Products
The buyer must inspect shipments upon arrival and provide written notice of transit damage or material discrepancy within 14 calendar days of delivery.
7. Export Administration Regulations (EAR)
Materials may be subject to United States Export Administration Regulations. The buyer warrants that materials will not be re-exported, diverted, or transferred in violation of applicable United States export control laws or sanctions regulations. International purchasers act as the importer of record.
8. Governing Law & Dispute Resolution
These Terms of Quotation and Sale shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts situated in the State of Colorado.
